Method and assumptions

An estimate for planning. A sale is priced and taxed on its own facts, confirmed by the seller’s advisors.

  1. 01SDE equals net income before tax, plus the owner’s salary, benefits and personal expenses, interest, depreciation and amortization, and one-time and non-operating expenses, less non-operating income.
  2. 02The calculation assumes one full-time working owner. Where a second owner works in the business, that owner’s pay is replaced with a market salary for the role rather than added back.
  3. 03EBITDA equals SDE less a market salary for a general manager to run the business in the owner’s place.
  4. 04A buyer accepts an add-back only where the financial statements and records support it.
